Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") govern your access to and use of ChurchKoala's websites, mobile experiences, applications, APIs, and related services (collectively, the "Services"). By creating an account, accepting an invitation, accessing, or using the Services, you agree to these Terms.

If you use the Services on behalf of a church, ministry, nonprofit, or other organization, you represent that you have authority to bind that organization, and "you" includes both you and that organization.

2. Eligibility and the Services

The Services are intended for organizational and administrative use by churches and related ministries. Features may include account management, people and visitor records, groups, team access, public church websites, custom domains, media hosting, analytics, AI-assisted tools, and messaging workflows. Features may change, be added, removed, or made subject to limits at any time.

The Services are not a backup archive, not emergency services, and not designed for life-critical, medical, or disaster-response use. You are responsible for maintaining any records or backups you require.

3. Accounts, admins, and security

You must provide accurate information and keep it current. You are responsible for safeguarding credentials, controlling access to admin accounts, and ensuring that invited users are authorized to access the workspace. You are responsible for activity that occurs under your accounts, including actions taken by your administrators, staff, volunteers, and invited users.

Notify us promptly if you become aware of unauthorized access, lost credentials, or suspected security incidents involving the Services.

4. Customer Data and your responsibilities

You retain ownership of the content, records, images, messages, and other data you submit to the Services ("Customer Data"). You grant ChurchKoala a worldwide, non-exclusive license to host, reproduce, process, transmit, display, adapt, and otherwise use Customer Data as necessary to operate, maintain, secure, support, and improve the Services, enforce these Terms, and comply with law.

You are solely responsible for Customer Data and for the actions of anyone you authorize to use the Services. You represent and warrant that you have all rights, notices, permissions, consents, and lawful bases needed to collect, upload, process, send, publish, and disclose Customer Data through the Services.

5. Public websites, media, and published content

Certain features are designed to publish church content publicly, including websites, public pages, public assets, and custom-domain content. If you publish information through those features, you understand it may be visible to the public, accessible to search engines, copied by third parties, and retained in caches or archives outside our control.

You are responsible for confirming that any public content, images, names, biographies, and other materials you publish are authorized for public display.

6. Messaging and communications compliance

If you use the email announcement features, you are solely responsible for your messaging practices, lists, recipients, content, and compliance obligations. This includes obtaining appropriate consent, keeping records of consent, honoring unsubscribe requests, complying with applicable anti-spam, privacy, and consumer-protection requirements, and ensuring that your campaigns and content are lawful in every jurisdiction where messages are sent or received.

ChurchKoala may provide technical workflows to help with subscription, confirmation, and opt-out handling, but those workflows do not replace your independent legal obligations.

7. AI-assisted and experimental features

Some features may use AI or machine-learning providers to analyze input, suggest drafts, classify information, or generate outputs. AI outputs may be inaccurate, incomplete, or inappropriate for your intended use. You must independently review all AI-generated output before relying on it, publishing it, or sending it to others.

We may also label certain features as beta, preview, early access, or experimental. Those features may be changed or discontinued at any time and are provided with even fewer assurances than the rest of the Services.

8. Acceptable use restrictions

You agree not to:

  • violate any law, regulation, carrier requirement, or third-party right, including privacy, publicity, intellectual property, or consumer-protection rights;
  • upload, store, send, or publish unlawful, fraudulent, defamatory, harassing, abusive, hateful, obscene, or misleading content;
  • send spam, unlawful robocampaigns, or messages without appropriate consent;
  • attempt to probe, scan, reverse engineer, scrape, disable, or gain unauthorized access to the Services, another account, or related systems or networks;
  • interfere with the integrity, security, or performance of the Services or third-party infrastructure;
  • use the Services to store or transmit malware, credential-harvesting content, or malicious code;
  • resell, sublicense, or provide the Services to third parties as a hosted service unless we expressly allow it in writing; or
  • use the Services in a manner that could expose ChurchKoala, providers, carriers, or other customers to legal, regulatory, or reputational risk.

9. Sensitive data and prohibited use cases

Unless we expressly agree otherwise in writing, you may not use the Services for protected health information subject to HIPAA, payment card data subject to PCI requirements, full bank account credentials, government-issued identification numbers, highly sensitive special category data, or other data that requires security controls or contractual commitments beyond those described in these Terms.

You may not use the Services for emergency alerting, dispatch, crisis response, or any use case where delayed delivery, outage, data loss, or output error could lead to death, bodily injury, or significant property or environmental damage.

10. Third-party services

The Services may depend on or interoperate with third-party providers, including hosting, authentication, mapping, messaging, analytics, AI, and domain providers. Those third parties may have their own terms, policies, availability constraints, and technical limitations. ChurchKoala is not responsible for third-party products or services, and we do not guarantee their ongoing availability or compatibility.

11. Fees and payment terms

Some features or plans may require payment now or in the future. If you purchase paid Services, you agree to pay applicable fees, taxes, and any other disclosed charges. Unless otherwise stated in writing, fees are non-cancelable and non-refundable except where required by law. We may suspend or limit paid Services for nonpayment.

12. ChurchKoala intellectual property

The Services, including our software, user interfaces, branding, documentation, design, and derivative works, are owned by ChurchKoala or its licensors and are protected by intellectual property and other laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you by implication, estoppel, or otherwise.

13. Feedback and service-generated data

If you provide suggestions, comments, ideas, or feedback about the Services, you grant ChurchKoala a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation. We may also generate and use aggregated, de-identified, statistical, and operational data derived from the use of the Services for lawful business purposes, including analytics, benchmarking, security, and product improvement.

14. Suspension and termination

We may suspend, restrict, remove content from, or terminate access to the Services at any time if we believe you have violated these Terms, created risk or possible legal exposure, failed to pay applicable fees, or if suspension is reasonably necessary to protect the Services, our users, third parties, or ChurchKoala.

You may stop using the Services at any time. After termination, we may delete or disable access to Customer Data in accordance with our retention practices, and we have no obligation to continue storing it unless required by law or a separate written agreement.

15. Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR QUIET ENJOYMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF LOSS, OR THAT ANY MESSAGE, WEBSITE, DOMAIN CHANGE, OR AI OUTPUT WILL BE DELIVERED, PUBLISHED, OR PERFORM AS EXPECTED.

16. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHURCHKOALA AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CHURCHKOALA FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

17. Indemnification

You will defend, indemnify, and hold harmless ChurchKoala and its affiliates, officers, directors, employees, contractors, licensors, and suppliers from and against any claims, damages, losses, liabilities, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your Customer Data, your messaging practices, your use of the Services, your violation of these Terms, or your violation of law or third-party rights, except to the extent finally determined to have been caused by ChurchKoala's gross negligence or willful misconduct.

18. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law principles, except to the extent mandatory law requires otherwise. Subject to applicable law, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to the Services or these Terms, and each party consents to personal jurisdiction and venue in those courts.

19. Changes, assignment, and general terms

We may update these Terms from time to time by posting the revised version on this page and updating the Last updated date above. Continued use of the Services after the updated Terms become effective constitutes acceptance of the revised Terms, except where additional consent is required by law.

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect. Our failure to enforce any provision is not a waiver of that provision. Sections that by their nature should survive will survive termination.
